1. Agreement to these Terms
These Terms & Conditions (“Terms”) govern access to and use of the Pulse.Txt website and platform (the “Services”) operated by Pulse.Txt (“Pulse.Txt,” “we,” “us,” or “our”). By accessing the website, creating an account, signing in, or using the Services, you agree to these Terms and our Privacy Policy.
If you use the Services on behalf of an organization, you represent that you have authority to bind that organization, and “you” includes that organization.
2. The Services
Pulse.Txt is a multi-tenant workspace that helps organizations send and manage SMS/MMS campaigns, related messaging, contact lists, reporting, and account administration. Features may change over time. Messaging delivery depends on carriers, third-party providers (such as Telnyx), and recipient devices; we do not guarantee delivery of every message.
3. Consent to texts, calls, and emails (TCPA)
By providing your mobile number, email address, or other contact information and completing an opt-in (including account registration, a checked consent box, a web form, or a keyword), you expressly agree and authorize Pulse.Txt and/or the specifically identified sender to contact you using automated text messages (SMS/MMS), phone calls (which may use an autodialer or artificial/prerecorded voice where allowed by law), and/or email for account, transactional, informational, and/or marketing purposes disclosed at opt-in.
- Consent is not required as a condition of purchase of any goods or services.
- Message frequency varies. Message and data rates may apply.
- Text opt-out: Reply STOP, CANCEL, UNSUBSCRIBE, or QUIT. Reply HELP for help.
- Email opt-out: Use unsubscribe links or email us.
- Call opt-out: Request removal during a call or contact us. We honor reasonable revocation requests as required by the TCPA and related rules.
You represent that you are the owner or customary user of any phone number or email you provide, and that you will promptly update us if that number or email is reassigned.
4. Customer compliance obligations (critical)
If you use Pulse.Txt to contact End Users (voters, donors, customers, leads, supporters, etc.), you are solely responsible for compliance with all applicable laws, including without limitation the TCPA, Telemarketing Sales Rule, CAN-SPAM, CTIA Messaging Principles, state telemarketing and privacy laws, campaign-finance rules (where applicable), and carrier requirements.
You agree that you will:
- Obtain all required prior express written consent before sending marketing texts or making marketing autodialed/prerecorded calls;
- Provide clear and conspicuous disclosures at opt-in, including identity of the sender, that messages may be sent via automated technology, that consent is not a condition of purchase, message frequency, that message/data rates may apply, and how to opt out;
- Identify the specific seller/sender for whom consent is obtained (one-to-one consent practices as required by applicable law);
- Honor opt-outs promptly (including STOP and other reasonable methods) and maintain suppression lists;
- Keep auditable records of consent and opt-outs for the periods required by law; and
- Not use the Services to send unlawful, deceptive, harassing, or spam content, or to contact numbers on Do Not Call lists without a valid exemption.
Pulse.Txt does not provide legal advice and does not guarantee that your campaigns are lawful. You should consult your own counsel for TCPA and campaign compliance.
5. Accounts and security
You must provide accurate registration information and keep credentials confidential. You are responsible for activity under your account. Notify us promptly of unauthorized use. We may suspend or terminate access for suspected abuse, nonpayment, or Terms violations.
6. Fees and billing
Paid features, messaging usage, and related fees are described in your order, invoice, or in-product billing screens. You authorize us (and our processors) to charge applicable fees. Unpaid amounts may result in suspension. Taxes may apply.
7. Acceptable use
You may not:
- Violate law or third-party rights;
- Attempt to bypass consent, opt-out, or carrier filtering controls;
- Probe, overload, or disrupt the Services or related networks;
- Reverse engineer the Services except where prohibited restrictions are unenforceable; or
- Upload malware or content you do not have rights to use.
8. Intellectual property
The Services, branding, and related materials are owned by Pulse.Txt or its licensors. You retain rights to content you upload, and grant us a limited license to host and process that content solely to provide the Services.
9. Disclaimers
THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT UNINTERRUPTED OR ERROR-FREE SERVICE OR THAT MESSAGES WILL BE DELIVERED.
10. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, PULSE.TXT AND ITS AFFILIATES, OFFICERS, AND PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR LOST PROFITS, REVENUE, OR DATA, ARISING FROM THESE TERMS OR THE SERVICES. OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SERVICES WILL NOT EXCEED THE AMOUNTS YOU PAID TO US FOR THE SERVICES IN THE TWELVE (12) MONTHS BEFORE THE CLAIM. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS; IN THOSE CASES, OUR LIABILITY IS LIMITED TO THE FULLEST EXTENT PERMITTED.
You are responsible for claims arising from your messaging practices, including alleged TCPA or telemarketing violations related to campaigns you send.
11. Indemnification
You will defend, indemnify, and hold harmless Pulse.Txt and its affiliates from claims, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of your use of the Services, your content, your End User communications, or your violation of these Terms or applicable law (including TCPA claims related to your campaigns).
12. Termination
You may stop using the Services at any time. We may suspend or terminate access immediately for breach, legal risk, or nonpayment. Provisions that by nature should survive (including compliance obligations, disclaimers, limitations, and indemnity) will survive termination.
13. Changes
We may update these Terms by posting a revised version with a new “Last updated” date. Continued use after changes become effective constitutes acceptance where permitted by law.
14. Governing law
These Terms are governed by the laws of the United States and the State of South Carolina, excluding conflict-of-law rules, unless a different governing law is required for your jurisdiction. Courts located in South Carolina will have exclusive jurisdiction, except where prohibited.
